Business Formation

A new business is easier to build correctly at the beginning than to untangle after money, ownership, or expectations have changed. Entity formation should do more than produce a filing confirmation from the Secretary of State. The structure should reflect who owns the company, who controls decisions, how profits are distributed, and what happens when relationships change.

Michael J. Lucas & Associates, LLC helps Illinois business owners establish a legal framework that fits the business they actually intend to operate.

Choosing an Entity

Common Illinois business structures include limited liability companies (LLCs), corporations, sole proprietorships, general partnerships, limited partnerships (LPs), and limited liability partnerships (LLPs). Depending on the nature of the business, additional options may include series LLCs, professional limited liability companies (PLLCs), professional service corporations, and other specialized business entities.

The choice can affect management, liability, governance, financing, ownership transfers, and tax treatment. Tax consequences should be coordinated with a qualified tax professional when necessary, because legal entity formation and tax classification are related but not identical decisions.

LLC Formation

An Illinois LLC is formed through articles of organization filed with the Secretary of State. The operating agreement can then govern relationships among members, managers, and the company.

Important questions include whether the LLC will be member managed or manager managed, how voting works, what happens if additional capital is needed, how distributions are made, whether ownership can be transferred, and what happens when a member wants to leave.

Corporation Formation

A corporation requires articles of incorporation and appropriate internal governance. Bylaws, initial board action, officer appointments, share issuance, ownership records, and other organizational steps can help establish the company's structure from the beginning.

Simply filing articles does not replace the internal corporate actions necessary to operate the entity coherently.

Ownership Agreements Matter

Many business problems arise because the owners discussed expectations but never reduced them to clear documents. Buy sell rights, deadlock procedures, transfer restrictions, management authority, compensation, capital contributions, confidentiality, and departure terms can become important later.

A carefully drafted agreement cannot eliminate every dispute, but it can reduce uncertainty when circumstances change.

Continuing Obligations

Formation is the beginning, not the end. Illinois entities generally have annual reporting obligations and must maintain a registered agent and registered office. The company should also keep its governing documents and ownership records current as the business evolves.

If you are starting a business in Illinois, Michael and his team can help select and form the entity, prepare appropriate organizational documents, and establish a legal structure designed for the owners' actual business arrangement.
