Michael J. Lucas & Associates, LLC helps clients evaluate whether an agreement is enforceable, what has been breached, and which remedy best fits the problem.
Confirm the Contract and the Breach
Enforcement begins with the actual documents. The agreement, amendments, exhibits, communications, invoices, payment records, notices, and course of performance can all matter.
The question is not simply whether the other party did something wrong. It is whether the conduct violated an enforceable obligation and caused a legally recognized loss or supports another remedy.
Demand Before Litigation
A focused demand can sometimes resolve the matter without filing suit. An effective demand identifies the obligation, explains the breach, states the relief requested, and considers any contractual notice or cure requirements.
Sending an aggressive letter without understanding the contract can be counterproductive. The demand should be grounded in the agreement and the client's actual objective.
Available Remedies
Depending on the contract, potential remedies can include money damages, interest, attorney fees where authorized, specific performance, declaratory relief, injunctions, repossession or other commercial remedies, termination, or enforcement of security interests.
The agreement may also require arbitration, mediation, a particular venue, or specified notice before a claim is filed.
Is the Other Party Collectible?
For payment disputes, obtaining a judgment is not always the same as collecting it. Before substantial litigation expense is incurred, it may be useful to consider the defendant's assets, business status, secured creditors, and practical ability to satisfy a judgment.
That does not determine whether a claim should be brought, but it can affect strategy.
Time Limits
Different limitation periods can apply to written contracts, oral contracts, sales of goods, and other obligations. The agreement may also contain notice or claim provisions that require earlier action.
If another party is refusing to honor a contract, Michael and his team can review the agreement, identify the available enforcement options, and help you decide whether negotiation, formal demand, arbitration, litigation, or another remedy makes sense.
