Michael J. Lucas & Associates, LLC assists clients with contract review and negotiation so they can understand not only what the document says, but what it means in practice.
Review the Deal, Not Just the Language
A contract should reflect the business arrangement the client believes was negotiated. Review therefore begins by comparing the document with the actual understanding between the parties.
A legally polished agreement can still be a bad business deal if the payment terms, responsibilities, timelines, or risk allocation are unfavorable.
Provisions That Deserve Careful Attention
Depending on the agreement, important terms may include scope of work, pricing, automatic renewal, termination rights, warranties, indemnification, insurance, limitation of liability, attorney fee clauses, confidentiality, exclusivity, ownership of work product, dispute resolution, governing law, venue, and assignment.
A clause that seems routine can have substantial consequences when a dispute arises.
Negotiation Should Be Purposeful
Not every unfavorable sentence needs to become a negotiation point. Effective negotiation focuses on the provisions that materially affect risk or the client's objectives.
The goal may be to narrow an indemnity, add a cure period, clarify deliverables, cap liability, revise payment timing, preserve termination rights, or eliminate a one sided remedy.
Understanding Leverage
Contract negotiation is both legal and commercial. A party with many alternatives may have greater leverage than one that urgently needs the transaction. Some provisions may also be standard in a particular industry. Legal advice should help the client distinguish between a true legal risk and a term that is simply part of the business bargain.
Before You Sign
Questions are easier to answer before the contract is executed. Once signed, the agreement may control even if a party later says they did not read or appreciate a provision.
If you have been asked to sign a business agreement, lease, service contract, vendor agreement, purchase agreement, or other contract, Michael and his team can review the document, explain the significant terms, and help negotiate revisions that better reflect your objectives.
